Welcome to SOCIAL GOOD NETWORK (“Site”). Joining the SOCIAL GOOD NETWORK Community (“Community”) is free. We’re glad you are joining and hope you’ll be an active participant and responsibly conduct and promote activities through the Site to support your favorite causes and nonprofits and spread the goodness.

This Site is owned and operated by Social Good Network LLC. By using or accessing the Site, you agree to our terms of use (“Terms”). If you do not agree to these Terms you are not permitted to use the Site and we reserve the right to terminate your use at any time, without prior notification, for any reason. You are solely responsible for your use of the Site and for any and all Content you post to the Site, including any and all consequences resulting therefrom. Some or all of the Content you submit, post or display may be viewed by others, including Site administrators, users, partners, and through third party services and websites. All Content, transmitted either publicly or privately, is the sole responsibility of the person or entity that originated such Content.

Although we work hard to ensure that the information we provide on the Site is accurate, mistakes can occur and we do not endorse, support, represent or guarantee the accuracy, reliability or truthfulness of any Content created by us, our users or third party sources. We do not endorse or tolerate any Content that may be offensive, harmful, inaccurate or otherwise inappropriate and reserve the right to refuse, approve and/or remove any Content for any reason without prior notification and may terminate any user or member accounts at any time for any reason and without prior notice or liability. The Site reserves the right to access and disclose any information we reasonably believe is necessary to satisfy any applicable law, regulation, legal process or governmental request; to detect and prevent fraud, security or technical issues; to respond to user support requests; to identify or investigate violations of the Terms and/or to enforce the Terms; and to protect the rights, property or safety of the Site, its users, third parties, and the public. The Content on the Site may change without prior notice and may include content, advertising and promotion, or other information from the Site and our affiliates or other third parties.

The Site may receive compensation from third parties as a result of your activities through the Site and reserves the right to adjust these fees or institute new or additional fees at any time. Joining our Community is free however we reserve the right to amend this policy in the future.

Privacy
Your privacy is important to us. Any and all information you provide the Site is subject to our Privacy Policy which governs our collection and use of your information. For additional information, please refer to the Privacy Policy.

Contributions to Nonprofits
Eligible Transactions & Contributions to Your Nonprofit Project: To generate an eligible transaction through online shopping, you must initiate your shopping at the SOCIAL GOOD NETWORK Site, or through an email, text link, or other SOCIAL GOOD NETWORK link, and you must complete your purchase during the same session. If you return an item from an eligible purchase, it will be deducted from your total giving funds. Only individuals (members or non-members) may earn rewards to direct to Nonprofit Projects from their shopping on SOCIAL GOOD NETWORK.

SOCIAL GOOD NETWORK participates in agreements with various third parties (“Shopping Partners”) that pay commissions to us on eligible transactions including, but not limited to, online shopping. If you complete an eligible transaction through one of our Shopping Partners, either through the Site, or through SOCIAL GOOD NETWORK links, advertisements, QR codes, or other promotions, our Shopping Partners are obligated to pay us a commission. Upon receipt of payment(s) from our Shopping Partner(s) for your eligible transaction, SOCIAL GOOD NETWORK will contribute a portion of the funds received to the Nonprofit project(s) or cause(s) you have selected, or to our Community Pot. Contributions that are directed from member giving accounts or from non-members will accrue based upon user choices, but will only be distributed to the Nonprofit(s) upon receipt of funds for the eligible transaction from our Shopping Partners. The Site is not responsible for any contribution until we have received payment from our Shopping Partners for your eligible transaction. Eligible funds are distributed to Nonprofits on a quarterly basis. Eligible transactions will typically post to your account or the Site within 24 hours, however payment from the Shopping partner may take up to 90 days, although this time varies and may be effected by things outside of SOCIAL GOOD NETWORK’s control. The amount of the eligible transaction may also be affected by returns, charges, variable commission rates and changes to our terms, which may change without prior notice. SOCIAL GOOD NETWORK pays nonprofits on a quarterly basis, based upon payments received from Shopping Partners.

The Community Pot accrues giving funds from eligible transactions that may not be individually tracked. For example, eligible transactions on Amazon.com are directed to The Community Pot. All unidentified transactions are also directed to The Community Pot. Social Good Network distributes The Community Pot quarterly to nonprofit projects and/or causes at its sole discretion.

Although the Site will make their best effort to ensure that all transactions are correctly tracked and credited, please contact us if you believe that you have completed an eligible transaction that has not been credited. Members accrue credit for eligible transactions, and may determine the participating nonprofit that the Site directs a portion of our Shopping Partner commission to, except in instances that our Shopping Partner does not enable us to track eligible transactions by individual, in which case the appropriate eligible transaction will be directed to the Community Pot. However, credits to a member account for anything other than a cash donation from the member have no actual cash value.

Individual Member Giving Accounts
When you join the Site you establish a personal giving account to manage and direct giving to the nonprofit projects and/or causes of your choice. When you complete an eligible transaction, upon receipt of verification of the transaction from our Shopping Partners, the Site will apply a credit to your account representing the amount of money you may direct to nonprofits, and/or credit the Community Pot for transactions that we cannot be credited to individual members (Amazon transactions). Typically, these credits will appear in your giving account within 24 hours of your transaction. These amounts do not have a cash value and are meant to represent the amounts the Site gives to our nonprofit partners based upon your direction. Members may not access or withdraw these credits or claim them as assets. In the event any giving account is inactive for a period of twelve (12) months, the Site may close the account and distribute any credits to the Community Pot or any other nonprofit partner. Funds directed from your giving account are not tax deductible. Only direct donations may be tax deductible. Directed funds are paid to nonprofits on a quarterly basis as described above, based upon the payments we receive from shopping partners.

Direct Donations & Fees
Social Good Network does not currently accept direct donations on behalf of the nonprofits on the Site. Social Good Network is working to add this option. Please check back to access this feature in the coming months.

Indemnification
You agree to defend, indemnify and hold harmless SGN, its directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of the Site.

Accuracy and Warranties Disclosures
The Site does not warrant or guarantee the accuracy, quality, completeness, currency, or validity of any information on the Site (including, without limitation, any database accessible via the Site and its content) or linked from the Site. Due to, among other things, the possibility of human and/or mechanical error, the Site shall not be responsible for any errors or omissions on the Site. We make no representations as to the accuracy or integrity of the information contained therein, including, without limitation, any content thereon. The Site shall not be liable for any damages of any kind incurred as a result of the information posted on the Site including, without limitation, any content thereon.

SOCIAL GOOD NETWORK MAKES NO WARRANTY THAT THE SITE IS BUG FREE OR ERROR FREE, THAT SAME WILL OPERATE WITHOUT ANY INTERRUPTION, OR THAT USE OF SAME WILL RESULT IN ANY PARTICULAR RESULTS. THERE ARE NO WARRANTIES AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF ANY INFORMATION OR AGAINST INFRINGEMENT. THE SITE IS PROVIDED "AS IS" AND "WITH ALL FAULTS." SOCIAL GOOD NETWORK HAS MADE AND MAKES NO OTHER WARRANTIES, AND IT DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, OR ARISING BY COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE, INCLUDING WITHOUT LIMITATION ANY REPRESENTATIONS OR WARRANTIES RELATING TO NONINFRINGEMENT, NONINTERFERENCE, ACCURACY, MERCHANTABILITY, TIMELINESS, PERFORMANCE, TITLE, QUIET ENJOYMENT, FITNESS FOR A PARTICULAR PURPOSE OR THAT ANY INFORMATION, EFFORTS, SERVICES OR SYSTEM PROVIDED BY THE SITE WILL FULFILL ANY OF YOUR PARTICULAR PURPOSES OR NEEDS. SGN MAKES NO REPRESENTATIONS OR WARRANTIES ON BEHALF OF ITSELF WITH RESPECT TO THIRD PARTY SOFTWARE OR EQUIPMENT AND EXPRESSLY EXCLUDES ANY AND ALL LIABILITY ARISING FROM OR RELATING TO A THIRD PARTY'S SOFTWARE AND/OR EQUIPMENT.

General Terms
Failure of the Site and/or SGN to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect. You agree that the laws of the state of Idaho, without regard to principles of conflict of laws, will govern these Terms of Service and any dispute of any sort that might arise between you and SGN. You hereby consent to the exclusive jurisdiction of the state and federal courts located in Boise, Idaho for all disputes arising out of these Terms of Service and/or use of the Site. If any of the terms of the Terms of Service shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

Information Collection and Use
When you join our community and create a member or nonprofit account, you will be asked to provide some personal information, such as your name, username, password and email address. Some of this information you provide during the registration process (such as your name and/or user name, and the organizations that you support) may be listed on the Site and accessible by the public.

The Site is designed to connect individuals, communities, and nonprofit organizations and shares information, news, opinions and other data related to our business. Except as otherwise specifically stated in this Privacy Policy, the information you provide to us via the Site will be made publicly available on the Site. The Site will store metadata associated with the use of the Site and may share this information with various third parties, including, but not limited to the organizations you follow and the Content with which you interact.

To accurately post and direct eligible transactions for contributions to our nonprofit partners, the Site will track and retain the details of transactions or donation payments made on the Site. To improve the Site, we track some of the actions you take on the Site, such as “following” an organization or “liking” a post. We use “cookie” technology to collect additional website usage data and to improve the Site. A cookie is a small data file that is transferred to your computer’s hard disk. SGN may use cookies to better understand how you interact with our Content and improve the Site.

The Site uses a variety of services hosted by third parties. These services may collect information sent to your browser as part of a web page request, such as cookies or your IP request.

The Site uses certain third party social media web sites and services such as Facebook, on the Site. The Site may collect information you have made available on these sites. In accessing these services through the Site, you are sharing information with those sites, and the information you share will be governed by their privacy policies. You may be able to modify your privacy settings with these third party sites.
